1. Introduction and Acceptance

These Terms and Conditions govern your use of Agile North training services and website. By accessing our website, enrolling in courses, or participating in our programs, you agree to be bound by these terms. If you disagree with any part of these terms, you should not use our services.

These terms constitute a legally binding agreement between you and Agile North. Please read them carefully before enrolling in any program or using our services.

2. Definitions

For the purposes of these terms:

  • "Services" refers to all training programs, courses, workshops, and educational materials provided by Agile North
  • "User" or "You" means any person accessing our website or enrolling in our programs
  • "Content" includes all text, images, course materials, documentation, and other materials provided through our services
  • "We/Us/Our" refers to Agile North
  • "Participant" means any person enrolled in and attending our training programs

3. Eligibility and Registration

Our training programs are designed for professional adults. By enrolling, you confirm that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding contracts
  • All information provided during registration is accurate and complete
  • You will maintain the confidentiality of any account credentials
  • You will notify us promptly of any changes to your contact information

We reserve the right to verify information provided during registration and to refuse service to anyone who does not meet eligibility requirements or who has previously violated these terms.

4. Course Enrollment and Payment

4.1 Enrollment Process

Course enrollment requires submission of required information and acceptance of these terms. Enrollment is confirmed upon receipt of full payment or execution of an approved payment plan. Course availability is subject to minimum enrollment requirements and instructor availability.

4.2 Payment Terms

Full payment is due at the time of enrollment unless an alternative payment arrangement has been approved in writing. All prices are stated in Euros and include applicable Finnish value-added tax (VAT). We accept payment through methods specified during the enrollment process. Payment obligations survive any termination of these terms.

4.3 Cancellation and Refunds

Participants may cancel enrollment up to 14 days before course commencement for a full refund minus administrative fees. Cancellations made 7-13 days before commencement receive a 50% refund. No refunds are provided for cancellations made less than 7 days before commencement or after the course has begun. We reserve the right to cancel courses due to insufficient enrollment, instructor unavailability, or unforeseen circumstances, in which case full refunds will be provided.

4.4 Schedule Changes

We reserve the right to modify course schedules, change instructors, or adjust curriculum content as necessary. Participants will be notified of significant changes at least 7 days in advance when possible. If schedule changes make participation impossible for enrolled participants, alternative arrangements or refunds will be offered.

5. Participant Responsibilities

5.1 Attendance and Participation

Participants are expected to attend all scheduled sessions and actively engage in course activities. Excessive absences may result in course removal without refund. Participants should arrive prepared having completed any assigned pre-work or reading.

5.2 Professional Conduct

Participants must maintain professional behavior during all program activities. This includes treating instructors and fellow participants with respect, contributing constructively to discussions, and refraining from disruptive behavior. We reserve the right to remove participants who violate conduct standards without refund.

5.3 Academic Integrity

All work submitted must be the participant's own. Plagiarism, unauthorized collaboration on individual assignments, or other forms of academic dishonesty may result in course failure and removal from the program. Participants preparing for certification examinations must comply with examination policies established by certification bodies.

5.4 Technical Requirements

Participants are responsible for ensuring they have appropriate technology to access course materials and participate in any online components. This includes reliable internet connectivity, compatible devices, and necessary software. We provide technical support for our platforms but cannot guarantee compatibility with all devices or configurations.

6. Intellectual Property Rights

6.1 Our Content

All course materials, website content, training methodologies, and other intellectual property provided by Agile North remain our exclusive property. Participants receive a limited, non-transferable license to use course materials solely for personal educational purposes during and after course completion. This license does not permit commercial use, reproduction, distribution, or creation of derivative works without our written permission.

6.2 Participant Work

Participants retain ownership of original work created during courses. However, by submitting work as part of course requirements, participants grant us permission to use such work for educational purposes including as examples in future courses, subject to confidentiality of any sensitive information. We will not use participant work for commercial purposes without explicit permission.

6.3 Third-Party Content

Course materials may reference or include content from third parties. Such content remains the property of its respective owners. Participants must respect all intellectual property rights and comply with any usage restrictions.

7. Prohibited Activities

Users and participants may not:

  • Violate any applicable Finnish or European laws or regulations
  • Infringe on intellectual property rights of Agile North or third parties
  • Share course materials or content with non-participants
  • Record, photograph, or otherwise capture course sessions without explicit permission
  • Attempt to gain unauthorized access to our systems or networks
  • Transmit viruses, malware, or other harmful code
  • Engage in fraudulent activities or misrepresent identity or credentials
  • Harass, threaten, or harm other participants or instructors
  • Use our services for any unlawful or unauthorized purpose
  • Impersonate others or falsely claim affiliation with organizations

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

Our training services are provided for educational purposes. While we strive to provide high-quality instruction, we make no warranties regarding specific career outcomes, certification examination results, or professional advancement. Individual results depend on many factors including prior experience, effort applied, and external circumstances beyond our control.

8.2 No Guarantees

We do not guarantee that course completion will result in employment, promotion, certification, or any specific professional outcome. The value derived from training depends on individual circumstances, application of learned concepts, and factors outside our influence.

8.3 Limitation of Liability

To the maximum extent permitted by Finnish law, our total liability for any claims arising from these terms or use of our services is limited to the amount paid for the specific course or service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, business interruption, or lost opportunities.

8.4 Third-Party Services

Our services may integrate with or reference third-party platforms, tools, or resources. We are not responsible for the availability, accuracy, or functionality of such third-party services, nor for any damages resulting from their use.

9. Confidentiality

During courses, participants may share professional experiences and information. Participants agree to maintain confidentiality of sensitive business information shared by others during training. This confidentiality obligation survives course completion. We maintain confidentiality of participant information as described in our Privacy Policy.

10. Certification and Credentials

Completion certificates are awarded to participants who fulfill all course requirements including attendance, assignments, and assessments. Certificates indicate successful completion of training but do not constitute professional licenses or guarantees of competency. Participants pursuing external certification credentials remain responsible for meeting all requirements established by certification bodies and for examination fees.

11. Termination

11.1 Termination by Participant

Participants may terminate enrollment subject to the cancellation and refund policy described in Section 4.3. Termination does not relieve payment obligations for services already provided.

11.2 Termination by Agile North

We reserve the right to terminate a participant's enrollment immediately for violation of these terms, disruptive behavior, academic dishonesty, or failure to make required payments. In such cases, no refund will be provided. We may also terminate services with reasonable notice for business reasons, in which case refunds will be provided for unused portions of paid services.

11.3 Effects of Termination

Upon termination, access to course materials and resources ceases immediately. Provisions of these terms that by their nature should survive termination remain in effect, including intellectual property rights, confidentiality obligations, liability limitations, and dispute resolution procedures.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, participants should first contact us to attempt informal resolution. Many disputes can be resolved through direct communication and good faith negotiation.

12.2 Mediation

If informal resolution is unsuccessful, parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

12.3 Governing Law and Jurisdiction

These terms are governed by Finnish law. Any legal proceedings must be brought in the courts of Helsinki, Finland. This choice of law and jurisdiction does not affect your statutory rights as a consumer under Finnish or European law.

13. Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control including natural disasters, pandemics, government actions, utility failures, or other force majeure events. We will make reasonable efforts to reschedule affected courses or provide alternative arrangements. If rescheduling is not possible, refunds will be provided for affected services.

14. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email to registered participants and posted on our website. Continued use of services after changes constitutes acceptance of modified terms. For enrolled participants, significant changes will apply only to future course sessions unless otherwise required by law.

15. General Provisions

15.1 Entire Agreement

These terms, together with our Privacy Policy and any enrollment agreements, constitute the entire agreement between participants and Agile North regarding use of our services.

15.2 Severability

If any provision of these terms is found unenforceable, the remaining provisions remain in full effect. Unenforceable provisions will be modified to the minimum extent necessary to make them enforceable while preserving their intent.

15.3 No Waiver

Our failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless made in writing.

15.4 Assignment

Participants may not assign or transfer their rights or obligations under these terms without our written consent. We may assign these terms without restriction.
